PARTIES TO THIS AGREEMENT

1. PROGRAM OVERVIEW

1.1 Program Description

Lumina Legacy Institute (LLI) offers an ICF-aligned coach training program designed to develop coaches who embody the International Coaching Federation (ICF) Core Competencies (updated September 2025) and uphold the ICF Code of Ethics (updated April 1, 2025).

The program includes:

• Minimum 60 hours of coach-specific training (synchronous and asynchronous)
• 10 hours of mentor coaching (group and individual sessions across at least 3 months)
• 5 observed coaching sessions with written faculty feedback
• Reflective practice assignments and ethics case study analysis
• Comprehensive assessment aligned with ICF Core Competencies
• Program materials, recordings, and resources including print and digital publications

1.2 Program Frameworks

Training is delivered through LLI's navigation system for coaching, which includes:

• ILLUMIN8™ - The 8 Principles of Powerful Coaching
• Clarity Compass™ - Internal motivation
• MAPS™ Framework - Session structure & flow

All frameworks are designed to operationalize the 2025 ICF Core Competencies and are pedagogical tools, to complement ICF standards and competencies.

1.3 Program Dates and Format

• Duration: 6 months ( - )
• Format: Hybrid, in person, Virtual live sessions via Zoom + asynchronous learning
• Schedule:
• Total Sessions: 32 weekly sessions

2.3 ICF Credentialing Pathway

Upon successful completion of this program, Student will be prepared to pursue ICF ACC (Associate Certified Coach) credentialing, which requires:

• 60 hours of ICF-accredited coach-specific training (pending LLI's accreditation approval)
• 100 hours of coaching experience (75 paid, 25 unpaid)
• 10 hours of mentor coaching from an ICF-credentialed mentor coach
• Passing the ICF Credentialing Exam (through ICF)

LLI does not guarantee ICF credentialing, as credentialing decisions are made solely by the International Coaching Federation.

3. TUITION AND PAYMENT

3.1 Program Tuition

Total Program Fee: $7,500 CAD [+ applicable taxes]

Tuition Includes:

• 60+ hours of coach-specific training
• 10 hours of mentor coaching (group and individual)
• All program materials, handbooks, and resources digital and print
• Access to all program recordings
• Individual assessment and feedback from PCC-credentialed faculty
• Certificate of Completion upon successful program completion

Tuition Does NOT Include:

• ICF Credentialing application fee
• ICF credential exam fees
• ICF membership fees
• Optional books or external resources
• Coaching practice liability insurance (recommended)

3.2 Payment Options

3.3 Payment Terms

• All payments must be made according to the agreed schedule
• Payments can be made via wire transfer, bank to bank, or credit card
• Late payments may result in suspension of program access until account is current
• A late fee of $50.00 CAD will be applied to payments more than 7 days past due

4. REFUND AND WITHDRAWAL POLICY

4.1 Refund Schedule

• 100% refund if withdrawal requested 30 or more days before program start date
• 50% refund if withdrawal requested within first two weeks of program start
• No refund after two weeks of program start

Exceptional Circumstances - Medical emergencies, bereavement, or extraordinary circumstances may be considered for extended refund eligibility or program deferral on a case-by-case basis. Documentation may be required.

4.2 Withdrawal Process

All withdrawal requests must be submitted in writing to admin@luminalegacy.org and include:

• Student name and cohort
• Date of last session attended (if applicable)
• Reason for withdrawal (optional)

Refunds will be processed within 30 business days of approved withdrawal.

5. ATTENDANCE AND PARTICIPATION REQUIREMENTS

5.1 Attendance

Student must attend a minimum of 80% of live synchronous sessions to be eligible for certificate of completion.

5.2 Make-Up Work

Missed sessions may be made up through:

• Watching session recording and submitting reflective response
• Completing supplementary coaching practice assignments
• Brief individual session with faculty to review key concepts (if available)

Make-up work must be completed within two weeks of missed session unless alternative arrangements are approved.

5.3 Extended Absences

Extended absences (3+ sessions) must be communicated to the Program Director immediately. Options may include:

• Deferral to future cohort
• Extended completion timeline with individual mentor

5.4 Coaching Practice Requirements

In addition to synchronous training, Student must complete:

• 100 hours of coaching practice (minimum hours required 75 paid, 25 unpaid for Level 1/ACC across at least 3 months)
• 10 hours of mentor coaching
• 5 observed coaching sessions with faculty feedback
• Reflective journaling and peer feedback assignments

6. COMPLETION REQUIREMENTS

6.1 Certificate of Completion

To receive a Lumina Legacy Institute Certificate of Completion, Student must:

• Complete minimum 60 hours of coach-specific training
• Attend minimum 80% of live sessions
• Complete 10 hours of mentor coaching
• Complete 5 observed coaching sessions with passing assessments
• Demonstrates ACC level proficiency of all 8 ICF Core Competencies
• Complete all reflective practice and all assignments

6.2 Partial Completion

Students who do not complete all requirements may request a Transcript of Hours Completed indicating:

• Total training hours completed
• Competencies addressed
• Assessment results (if applicable)
• Status: Incomplete

Incomplete hours may be applied toward future completion at LLI within 12 months, subject to program availability and any applicable fees. Partial completion does not qualify Student for ICF Level 1 certification or LLI's Certificate of Completion.

7. TECHNOLOGY, DATA PRIVACY, AND INFORMED CONSENT

7.1 Technology Disclosure

Platforms and Tools Used:

• Zoom for live/recorded video sessions
• LearnDash - LMS for materials and resources
• Vimeo for session recordings

Data Practices:

• Session recordings are stored securely on Vimeo
• Access is limited to assigned faculty evaluators and program leadership
• Recordings are retained for 1 calendar year for assessment purposes
• Recordings are deleted 2 months after program completion unless Student provides explicit consent for alternative use
• Student data is protected in accordance with Canadian privacy laws (PIPEDA)

7.2 Informed Consent for Recording

Student understands and consents to:

• Being recorded during coaching practice sessions for assessment and feedback purposes
• Recordings being viewed by assigned PCC-credentialed faculty for evaluation
• Recordings being stored securely according to stated data practices
• The right to withdraw consent (with understanding that alternative assessment methods may be required)

*Any recordings submitted by students must have consent from client recorded on zoom session

Student may request deletion of recordings after assessment is complete by contacting admin@luminalegacy.org.

7.3 Consent for Contact Information Sharing

Student consents to:

• Contact information (name, email) being shared with cohort members for peer coaching and collaboration
• Being added to cohort communication channels (e.g., email list, messaging platform)

Student may opt out of certain communications by contacting admin@luminalegacy.org.

7.4 Use of Testimonials and Case Studies

LLI may request permission to use Student testimonials, success stories, or case examples in marketing materials. Such use requires separate, explicit written consent from Student and will not be assumed under this agreement.

8. CODE OF ETHICS AND PROFESSIONAL CONDUCT

8.1 ICF Ecosystem Accountability

By enrolling, Student enters the ICF Ecosystem and agrees to uphold ICF ethical standards.

8.2 Student Code of Conduct

Student agrees to:

• Abide by the 2025 ICF Code of Ethics in all program activities
• Uphold the ICF Core Values: Inclusion, Collaboration, Empowerment, Growth, and Integrity
• Demonstrate personal integrity and honesty in all interactions
• Maintain confidentiality with peer coaching clients and classmates
• Maintain distinctions between coaching, consulting, psychotherapy, and other support professions
• Disclose any multiple roles or potential conflicts of interest
• Use technology ethically and transparently - as taught in program
• Create and maintain psychological safety in all coaching practice and class interactions
• Respect diverse identities, backgrounds, and perspectives
• Engage in ongoing reflection on personal biases and commit to inclusive practice

8.3 Prohibited Conduct

Student agrees NOT to:

• Engage in harassment, discrimination, bullying, or exclusionary behavior
• Breach confidentiality of peers, clients, or classmates
• Misrepresent training, coaching credentials or qualifications
• Violate technology or data privacy protocols
• Engage in plagiarism or academic dishonesty

8.4 Consequences of Ethical Violations

Violations of the Code of Conduct or ICF Code of Ethics may result in:

• Warning and required remediation
• Mandatory additional ethics training
• Suspension from program activities
• Removal from program without refund (severe violations)

All disciplinary actions are documented and handled in accordance with LLI's grievance policy.

9. CONFIDENTIALITY

9.1 Student Confidentiality Obligations

Student agrees to maintain strict confidentiality regarding:

• All information shared by peer coaching clients during practice sessions
• Personal information shared by classmates during program discussions
• Any proprietary program materials, frameworks, or content

Confidentiality extends beyond program completion unless otherwise specified.

9.2 LLI Confidentiality Commitments

LLI agrees to maintain confidentiality regarding:

• Student personal information and contact details
• Student coaching practice recordings and assessments
• Any sensitive information shared during program participation

Confidentiality may be breached only if:

• Required by law
• There is imminent threat of harm to self or others
• Student provides written consent to release information
• Information is needed for ICF accreditation review (de-identified when possible)

10. DISABILITY ACCOMMODATION AND INCLUSION

10.1 Accommodation Requests

LLI is committed to providing reasonable accommodations for students with disabilities or accessibility needs.

Student may request accommodations by submitting written request to the Program Director at admin@luminalegacy.org, including:

• Description of disability or accessibility need
• Specific accommodation(s) requested
• Supporting documentation (if applicable)

Accommodations may include:

• Assistive technology or modified materials
• Flexible pacing or alternative assessment formats
• Additional time for assignments or practice
• Communication supports (captioning, transcripts, etc.)

10.2 Confidentiality of Accommodation Requests

All accommodation requests and related information are handled confidentially and with respect for Student dignity and autonomy.

11. INTELLECTUAL PROPERTY

11.1 Lumina Legacy Institute Proprietary Content

All program materials, frameworks (ILLUMIN8™, Clarity Compass™, MAPS™) handbooks, recordings, and content are proprietary to LLI and protected by copyright.

Student may:

• Use materials for personal learning and coaching practice
• Reference frameworks in their own coaching with proper attribution

Student may NOT:

• Reproduce, distribute, or sell LLI materials
• Teach LLI frameworks without authorization
• Claim creation or ownership of LLI intellectual property
• Use LLI trademarks or work without permission

11.2 Student Work Product

Any coaching tools, resources, or intellectual property Student creates independently remains Student's property. However, work created collaboratively during program or as assigned coursework may be used by LLI for educational purposes with Student attribution.

12. LIMITATION OF LIABILITY

12.1 Coaching Practice Liability

Student understands that coaching practice involves working with real clients and assumes responsibility for:

• Obtaining appropriate liability insurance for coaching practice (strongly recommended)
• Practicing within ethical boundaries taught in program
• Referring clients to appropriate support professionals when needed
• Managing their own well-being and seeking supervision/support as needed

12.2 Lumina Legacy Institute (LLI) Liability

LLI's liability is limited to the tuition paid by Student. LLI is not liable for:

• Student's coaching practice outcomes or client relationships
• Loss of income or business opportunities
• Failure to obtain ICF credentialing (which is determined by ICF, not LLI)
• Technology platform failures or data breaches beyond LLI's control
• Student injury, illness, or personal circumstances

13. GRIEVANCE AND COMPLAINT PROCEDURE

13.1 Informal Resolution

Student is encouraged to first attempt informal resolution by raising concerns directly with the involved party or Program Director.

13.2 Formal Complaint Process

If informal resolution is unsuccessful, Student may submit formal written complaint to admin@luminalegacy.org including:

• Clear description of concern
• Relevant dates and individuals involved
• Desired resolution

Complaints will be:

• Acknowledged within 5 business days
• Investigated and reviewed within 15 business days
• Responded to in writing with findings and actions

13.3 Appeals

Student may appeal decision to Managing Director (Kim Fitzpatrick) within 10 business days of receiving response. Final decision will be provided within 15 business days of appeal.

13.4 External Review

If Student believes complaint has not been resolved fairly, they may contact:

• ICF Ethics Department: ethics@coachingfederation.org
• Relevant provincial/federal authorities

13.5 Non-Retaliation

LLI prohibits retaliation against students who raise concerns in good faith.

14. MARKETING AND REPRESENTATION

14.1 Student Responsibilities

Student agrees NOT to:

• Misrepresent LLI's accreditation status (provisional, not fully accredited)
• Claim ICF accreditation for hours until LLI receives formal approval
• Use LLI trademarks or logos without permission
• Make false or misleading claims about LLI program or outcomes

14.2 Accurate Representation

Student may accurately state:

• "Completed coach training at LLI"
• "Training aligned with 2025 ICF Core Competencies and Code of Ethics"
• "Trained in ILLUMIN8™, Clarity Compass™, and MAPS™ frameworks"

Student may NOT state (until accreditation granted):

• "Completed ICF-accredited training at LLI"

15. GENERAL TERMS

15.1 Entire Agreement

This agreement constitutes the entire agreement between LLI and Student and supersedes any prior oral or written agreements.

15.2 Amendments

LLI may update program policies with reasonable notice to students. Material changes to this agreement require written amendment signed by both parties.

15.3 Severability

If any provision of this agreement is found unenforceable, remaining provisions remain in full effect.

15.4 Governing Law

This agreement is governed by the laws of Ontario, Canada.

15.5 Communication

All official communication will be sent to Student's email address provided in this agreement. Student is responsible for keeping contact information current.
